1. Technical Infrastructure & Compatibility

• Industrial Power: Units are powered via a 277V single-phase industrial feed. This high-voltage configuration maximizes PSU efficiency.

• Hardware Compatibility: Open to any ASIC miner with a PSU supporting 277V input (e.g., L9, S21, X9 series). Clients must verify hardware compatibility prior to shipping.

• Monitoring: Individual consumption is metered via Smart PDUs integrated with the LoadSync™ system for real-time kWh tracking.

 2. Subscription & Billing Model*

​

• Monthly Subscription: Hosting is billed as a recurring fixed-rate subscription of $275.00 CAD per unit.

• Subscription Date: Payments are automatically processed on the 1st of each month for the upcoming service period.

• Power Allotment: Each subscription includes a base minimum demand allotment of 2,500 kWh per month.

• Overage Reconciliation: Actual consumption is audited monthly. Usage exceeding 2,500 kWh will be billed via a separate, independent invoice issued after the monthly audit.

  • Overage Rate: $0.11 CAD / kWh.

  • Underages: No credits or "roll-over" hours are issued for unused kWh within the base allotment.

• Setup Fee: A one-time installation fee of $50.00 CAD applies to each miner upon initial setup.

 3. Shipping, Handling & Verification

​

• Inbound Logistics: Clients are responsible for all shipping costs, insurance, and transit risks.

• DDP Requirement: International units must be shipped DDP (Delivered Duty Paid). Polyflex will refuse any shipments arriving with unpaid duties or brokerage fees.

• Initial Power-On Test: Upon arrival, Polyflex performs a Simple Power-On Test. This is a "heartbeat" check to verify the PSU engages and the controller reaches the network.

  • Disclaimer: This test does not guarantee long-term hashing stability or chip health. Polyflex is not liable for units that arrive Dead on Arrival (DOA).

• Outbound/De-Racking: A $50.00 CAD/unit de-racking fee applies upon exit.

 4. Maintenance, Repairs & Transport

​

• Basic Remote Hands: Included (reboots, cable checks, visual inspections).

• Repair Responsibility: Polyflex does not perform board-level repairs. Clients are solely responsible for arranging and paying for repairs with their chosen third-party technician.

• Transport Service: For a $50.00 CAD Round Trip fee, Polyflex will transport hardware to a designated repair facility within Edmonton or Calgary and return it to the site once the repair is complete.

 5. Non-Payment & Default Policy ("Kill Clause")

​

• 10 Days Past Due: If a subscription payment or overage invoice remains unpaid by the 10th of the month, Polyflex will disconnect power and suspend hashing immediately.

• Storage Transition: Disconnected units move to the Flex-Storage rate ($35.00 CAD/month).

• Commercial Lien: Pursuant to the Alberta Commercial Liens Act, Polyflex Capital Corp. maintains a legal lien over all hardware. Equipment will not be released until all outstanding balances (subscription, overages, and storage) are paid in full.

• Liquidation: If an account remains in default for 60 days, Polyflex reserves the right to liquidate the equipment to recover unpaid costs.

 6. Service Level Agreement (SLA) & Liability

​

• Uptime Goal: 97% (excluding scheduled utility maintenance).

• Curtailment: Polyflex reserves the right to power down units during extreme grid stress or AESO-mandated curtailment to protect site infrastructure.

• Insurance: Polyflex does not insure individual client hardware. Clients must maintain their own property/in-transit insurance.

• Mining Revenue & Custody: Polyflex Capital Corp. does not take custody or control of mining revenue. All hashpower is directed to the client’s designated pool. The client is solely responsible for pool configuration and payout security.

• Limitation of Liability: Polyflex is not liable for lost mining revenue due to downtime, latency, or hardware failure.

 7. Termination

​

• Notice Period: This is a month-to-month subscription. 30 days' notice is required prior to the 1st of the month to cancel the subscription and schedule hardware removal.

 8. Amendments & Fair Exit Policy

​

• Right to Modify: Polyflex Capital Corp. reserves the right to modify these Terms and Conditions to reflect changes in energy costs, market conditions, or facility operations.

• Notice of Change: Clients will be notified of any material changes to terms or pricing at least 30 days before the changes take effect.

• Fair Exit Option: If a client does not agree to the amended terms, they have the right to terminate their subscription and remove their hardware without penalty (waiving the standard 30-day notice period), provided the request is made within 14 days of the amendment notice. All outstanding balances for previous service must still be settled prior to equipment release.
